TopoDepot™ Data License Agreement
This is a legal agreement between you, the end user requesting download of data,
and Sylvan Ascent, Inc. ("Sylvan Ascent"). By downloading the data you are consenting
to the terms of this non-exclusive End User License Agreement ("Agreement"). If
you do not agree to the terms of this Agreement, DO NOT PROCEED WITH DOWNLOADING
DATA.
DEFINITIONS: As used in this Agreement, "Data" means the data files that you have
downloaded. "Data Copies" means copies of all or any portion of the Data, including
backups, updates, and merged or partial copies. "Related Materials" means any supporting
documentation, either printed or downloaded, any user-interface HTML or Active Server
Pages and any non-data files downloaded or otherwise supplied by or from Sylvan
Ascent for use with the Data. "License" means the grant of certain limited rights
to use the Data, Data Copies, and Related Materials. Sylvan Ascent specifically
retains title to all Sylvan Ascent Data and Related Materials, and Sylvan Ascent
licensors retain title to items owned by them.
DURATION: This Agreement is effective from the day you download the Data and continues
indefinitely. If you fail to comply with any provision of this Agreement, termination
is automatic, without notice from Sylvan Ascent and without the necessity for recourse
to any judicial authority. UPON TERMINATION, YOU MUST DESTROY ALL DATA AND RELATED
MATERIALS DOWNLOADED.
USES PERMITTED: Data may be used by you or any person in your company on a personal
computer or company accessible internal network only. You may also publish the Data
and/or Data Copies for resale, only if significant enhancements have been made to
the data.
USES PROHIBITED: In no event shall Data be used for the benefit of third parties,
without Sylvan Ascent's express written permission, except as outlined under USES
PERMITTED. Under no circumstances may you offer for download or allow third parties
to download the Data, Data Copies and/or Related Materials from an Internet site
without Sylvan Ascent's express written permission.
GENERAL: This Agreement represents the entire understanding and agreement regarding
the Data, Data Copies, and Related Materials, and supersedes any prior communication,
advertisement, or representation, and may only be modified in a written amendment
signed by an authorized Sylvan Ascent representative or by a specific prior or subsequent
written agreement between the parties. If any provision of this Agreement shall
be unlawful, void, or for any reason unenforceable, that provision shall be deemed
severable from, and shall in no way affect the validity or enforceability of, the
remaining provisions.
